Job Description

Experience: 1 to 3 Years

Location: Gurugram

Education: Certified CS

Role Purpose

To support and ensure end-to-end corporate secretarial, governance, and regulatory compliance requirements for allocated group companies. The role involves managing statutory records, coordinating Board and General Meetings, handling ROC filings, maintaining compliance tools, and providing secretarial support for transactions and special projects while ensuring compliance with applicable laws, regulations, and Secretarial Standards. Key Responsibilities.

Corporate Secretarial Compliance

  • Ensure compliance with the provisions of the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws for allocated group companies.
  • Monitor and track periodic, event-based, and annual compliances and ensure timely completion.
  • Maintain statutory records, registers, minute books, and other corporate records in accordance with applicable legal requirements.
  • Ensure proper custody and updating of corporate records and governance documents.
  • Coordinate and manage Board Meetings, Committee Meetings, and General Meetings of group companies.
  • Prepare notices, agendas, explanatory notes, attendance records, resolutions, and other meeting-related documents.
  • Draft Board, Committee, and General Meeting minutes and ensure timely finalization and circulation.
  • Prepare / review, and ensure timely submission of various e-forms, returns, and documents with the Registrar of Companies (ROC) and other regulatory authorities.
  • Liaise with internal functions including Legal, Finance, Taxation, Treasury, HR, Business Teams, and Auditors for compliance and governance-related matters including timely closure of Audits / Diligence exercise
  • Maintain records of filings and ensure compliance with prescribed timelines.
  • Candidate having prior experience of working on a compliance will be given preference. 
  • Assist in process improvement and digitalization initiatives within the secretarial function.
